These Terms and Conditions ("Terms"), along with our Privacy Policy, govern your use of the Mailroster website ("Site"), web application, and services ("Service") provided by Mailroster LLC ("Mailroster", "we", "us"). By using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. Please review them carefully.

We may update these Terms occasionally. Unless required by law, we will notify you in advance of any significant changes and provide you the opportunity to review them before they take effect. If you continue to use the Site after these changes take effect, you agree to the revised Terms. If you do not agree to the new Terms, you may delete your account at any time.

Communications

As part of providing you the Service, we may need to send you communications via email regarding normal business operations of your account and Service notifications. Additionally, with your permission, we might use your company name or logo in our marketing materials. If you prefer that we do not use your information for marketing purposes, please notify us in writing.

You agree not to duplicate, transfer, create derivative works from, or misuse any content from the Service, except as expressly authorized by these Terms.

Fees, Refunds, and Cancellations

Fees: Fees for services or products provided by Mailroster are due as agreed upon by the user at the time of purchase. All prices are clearly stated on our website and within our service platforms.

Refunds and Cancellations:

General Policy: Users may request a refund for any purchase within 30 days if not satisfied with the service. Refunds are processed to the original method of payment and will be issued within ten business days of the request.

Subscription Services: Under New York’s Automatic Renewal Law (General Obligations Law § 5-903), subscriptions automatically renew unless canceled by the user. You can cancel your subscription at any time. We provide a reminder notice 30 to 60 days before the renewal date, detailing the terms and instructions on how to cancel your subscription without penalty.

Digital Content: Purchases of digital content (like software or digital reports) can be canceled within 14 days for a full refund, provided that the downloading or streaming has not commenced.

Chargebacks: We strive to resolve any disputes or discrepancies in billing promptly and fairly. We encourage users to contact us directly to address any concerns before initiating a chargeback. Users who initiate chargebacks for valid charges may be subject to a permanent ban from using the Service, as per our zero-tolerance policy for fraudulent chargebacks.

Fair Billing: Compliance with New York's fair billing practices ensures that any billing errors are corrected promptly. You will not be penalized while an error is being investigated, and any errors on bills are corrected within two billing cycles.

Cancellation Process: To cancel a purchase or subscription, you may either cancel your account directly from our billing portal or submit a written notice to us via the contact information provided on our website. Ensure that your cancellation request includes your account information and transaction details to facilitate quick processing.

Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis. Mailroster expressly disclaims all warranties, whether express or implied, including the warranties of merchantability, fitness for a particular purpose, and non-infringement. We endeavor to keep the Service safe and running smoothly, but do not warrant that our Service will operate error-free or without interruptions.

Limitation of Liability

Mailroster will not be liable for any indirect, special, incidental, consequential, or punitive damages, including lost profits or data, arising out of your use of the Service, even if we have been advised of the possibility of such damages. In any case, our total liability for all claims related to the Service will not exceed the amount you paid for the service in the last three months.

Indemnification

You agree to defend, indemnify, and hold harmless Mailroster, its affiliates, officers, and employees from any claims, damages, liabilities, and expenses arising from your use of the Service, your data, or your breach of these Terms.

Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for any reason, including breaches of these Terms. Upon termination, your right to use the Service will immediately cease, and you may lose access to any data stored on our servers.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.

Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The seat, or legal place, of arbitration shall be New York City, New York. The language of the arbitration shall be English.

Changes to These Terms

We reserve the right to modify these Terms at any time. We will post the revised Terms on the Site and update the "Effective Date" to reflect the date of the changes. By continuing to use the Service after we post such changes, you agree to the new Terms.
